Teknoir Acceptable Use Policy

IMPORTANT: THIS ACCEPTABLE USE POLICY IS INCORPORATED INTO ANY ORDER FORM OR OTHER AGREEMENT THAT REFERENCES IT AND FORMS PART OF THE BINDING AGREEMENT BETWEEN TEKNOIR AND THE CUSTOMER. TEKNOIR PROVIDES THE PRODUCT, PLATFORM, AND SERVICES SOLELY ON THE TERMS AND CONDITIONS SET FORTH IN THE TEKNOIR TERMS AND CONDITIONS APPLICABLE TO THEM, ON THESE TERMS AND CONDITIONS, AND ON THE CONDITION THAT THE CUSTOMER ACCEPTS AND COMPLIES WITH THEM. CUSTOMER AGREES TO BE BOUND BY SUCH TERMS BY EXECUTING AN ORDER FORM OR OTHER AGREEMENT THAT REFERENCES THEM. THE INDIVIDUAL ACTING ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY REPRESENTS AND WARRANTS THAT THEY HAVE THE RIGHT, POWER, AND AUTHORITY TO AGREE ON BEHALF OF CUSTOMER AND BIND CUSTOMER TO ITS TERMS. IF CUSTOMER DOES NOT AGREE TO THE TERMS AND CONDITIONS, TEKNOIR WILL NOT AND DOES NOT LICENSE THE PRODUCT OR PLATFORM TO CUSTOMER, AND YOU MUST NOT DOWNLOAD OR INSTALL THE PLATFORM OR DOCUMENTATION.

Wherever this Policy prohibits or restricts Customer from doing something, Customer is also prohibited or restricted from attempting to do it and from inducing, soliciting, permitting, or knowingly assisting anyone else to do so, whether for Customer’s benefit or otherwise.

1.1 Customers are prohibited from seeking to trace any information about, or owned by, any other user of the Product or Platform, including but not limited to personal identifying information and financial information.

1.2. Customers are prohibited from taking any action that unreasonably burdens the Product or Platform, any network associated with them, or any other network associated with Teknoir. This may include, for example (but not as a limitation), bandwidth usage that Teknoir judges to be excessive.

1.3. Except for bona fide administrative or helpdesk functions, Customers are prohibited from:

(A) Engaging in “spoofing,” for example, disguising the origin of any transmission Customer sends to Teknoir via the Product, Platform, or any network associated with them.

(B) Using a bot, screen scraper, Web crawler, or any other method to access the Product or Platform or any content stored by them other than the user interface provided by Teknoir.

(C) Impersonating anyone in connection with the Product or Platform.

(D) Pretending to represent another individual or entity in connection with the Product or Platform.

(E) Infringing someone’s copyright, trademark, trade secret, or other intellectual property right in connection with Customer’s use of the Product or Platform.

(F) Exporting or re-exporting goods or technical data in violation of Law.

(G) Using the Product or Platform to transmit or store any of the following: (i) viruses, Trojan horses, bots, crawlers, keystroke recorders, or other malware of any kind; (ii) information owned by someone else without their permission; (iii) information used or intended to be used in any unlawful manner, in connection with any unlawful purpose, or in any manner that could expose Teknoir to a risk of liability; (iv) information that violates any other acceptable-usage policy that Teknoir may publish from time to time (Teknoir will give Customer notice if it does so).

1.4 Customer may not resell access to the Product or Platform to anyone else.

1.5 Customer may not knowingly let anyone access or use the Product or Platform except authorized Customer Designated Users.

1.6. Customer may not disassemble, decompile, or otherwise reverse-engineer the Product or Platform.

1.7 Customer may not make or distribute copies of, or create derivative works based on, any content provided via the Product or Platform, other than Customer’s own content or as expressly authorized in writing by Teknoir or other owner of the content.

Violation of any of the foregoing will constitute a breach of any Order Form, Scope of Work, Teknoir’s Terms and Conditions and subject Customer to all rights and remedies available thereunder to Teknoir and under applicable Law.
